1. Agreement to Terms

These Terms of Service govern your use of the clariBI platform and services. By creating an account and accepting these terms during registration, you agree to be bound by this agreement. These terms constitute a binding contract between you and Darek Černý.

Intended Use: clariBI is designed primarily for business use. The service, pricing, and features are tailored for business analytics needs.

2. Description of Service

clariBI provides AI-powered business intelligence and analytics software as a service (SaaS) that enables users to:

  • Connect and analyze data from multiple sources
  • Create dashboards and reports
  • Use AI-powered insights and natural language querying
  • Collaborate on analytics projects
  • Access pre-built templates and integrations

3. User Accounts

3.1 Account Creation

To use our services, you must create an account by providing accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.2 Account Responsibility

You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account
  • Promptly notify us of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

4. Acceptable Use

4.1 Permitted Use

You may use clariBI for lawful business intelligence and analytics purposes in accordance with these terms and our documentation.

4.2 Prohibited Use

You agree not to use clariBI to:

  • Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, or defamatory
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble our software
  • Use the service for competitive analysis or to develop competing products
  • Transmit spam, viruses, or other malicious code
  • Overload our systems or interfere with service operation

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you upload or process through clariBI. We do not claim any ownership rights to your data.

5.2 Data Processing

By using our service, you grant us permission to process your data as necessary to provide the service, including:

  • Storing and analyzing your data to generate insights
  • Using AI and machine learning algorithms on your data
  • Creating visualizations and reports based on your data
  • Backing up your data for service reliability

5.3 Data Security

We implement industry-standard security measures to protect your data, including encryption at rest and in transit, access controls, and regular security audits. However, no system is 100% secure, and you acknowledge the inherent risks of transmitting data over the internet.

6. Subscription and Billing

6.1 Subscription Plans

clariBI offers various subscription plans with different features and usage limits. Current pricing and plan details are available on our pricing page.

6.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis. You agree to pay all charges incurred by your account. We may change our prices with 30 days' notice.

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period.

Refund Policy: You may request a full refund of your current billing period if you have not yet consumed any AI analysis credits. Once you begin using the AI analysis features, refunds for that billing period are not available, except as required by applicable law. To request a refund, contact us at legal@claribi.com.

7. Intellectual Property

7.1 Our IP

clariBI and all related software, algorithms, trademarks, and intellectual property remain our exclusive property. We grant you a limited, non-exclusive, non-transferable license to use our service.

7.2 Your IP

You retain ownership of your data and any intellectual property you create using our service. You are responsible for ensuring you have the right to upload and process any data you use with clariBI.

8. Service Availability

8.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may perform scheduled maintenance that temporarily interrupts service, and will provide reasonable notice when possible.

8.2 Support

Support is provided according to your subscription plan. We aim to respond to support requests within one business day for paid plans and within three business days for free plans.

9. Warranty and Limitation of Liability

9.1 Service Warranty

We warrant that clariBI will perform substantially as described in our documentation. If the service fails to meet this warranty, your sole remedy is termination with a pro-rata refund for the unused portion of your subscription. Except for this express warranty, we provide the service without additional warranties regarding fitness for a particular purpose or non-infringement.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, our total liability for any claims arising from or related to the service shall not exceed the amount you paid for the service in the twelve months preceding the claim.

We shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or data, except where such exclusion is prohibited by law.

Important: Nothing in these terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or intentional misconduct; or (d) any other liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless clariBI from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription or contacting support.

11.2 Termination by Us

We may suspend or terminate your account if you violate these terms, fail to pay fees, or for any reason with 30 days' notice. We may terminate immediately for material breaches or illegal activity.

11.3 Effect of Termination

Upon termination, your access to the service will cease. We will retain your data for 30 days to allow for data export, after which it will be permanently deleted.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the service. Continued use of the service after changes constitutes acceptance of the new terms.

13. Governing Law and Jurisdiction

These terms are governed by and construed in accordance with the laws of the Czech Republic. Any disputes arising from or relating to these terms or the service shall be subject to the exclusive jurisdiction of the courts of the Czech Republic.

If you are a consumer in the European Union, you may also have the right to bring proceedings in the courts of your country of residence and to benefit from mandatory consumer protection laws of your country.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
